The Governance Committee includes two components: a Governance Operating Committee and a Governance Nominating Committee.

Policies

Committee Composition—Operating Committee

Chaired by the Immediate Past President.
The President and President-Elect serve as ex officio members.
Four additional Board members who have a demonstrated understanding of volunteer organization governance issues, appointed by the Executive Committee for a 1-year renewable term.
Additional at-large members appointed by the Executive Committee as needed to provide specific expertise.

No member of the Governance Committee may simultaneously serve in a Board position for any other professional societies with overlapping membership and interest areas with ISHLT.

Director and Officer Nominations
Leadership Orientation
Governance effectiveness oversight and assessment
Volunteer job descriptions and compensation policy
Identification of candidates possessing desired attributes (as defined by the BoD) to ensure Board access to important perspectives
Serve as an executive search firm for BoD directors
